Lowkey Terms of Service

Effective Date: February 18, 2026

These Terms of Service ("Terms") are a legal agreement between you and Lowkey Technologies Inc ("Lowkey," "we," "our," or "us") and govern your access to and use of Lowkey websites, applications, APIs, assistants, automations, and related services (collectively, the "Service").

By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Who May Use the Service

  1. You must be at least 18 years old and legally able to enter into a binding contract.
  2. If you use the Service on behalf of a company, organization, or other legal entity, you represent that you have authority to bind that entity to these Terms.
  3. You may not use the Service if your access has been previously suspended or terminated by Lowkey.

2. Service Overview

  1. Lowkey provides AI-powered assistants and workflow tools that help users execute tasks such as communication workflows, inbox and calendar operations, project updates, and related business tasks.
  2. The Service may include connections to third-party systems (for example, Gmail, Google Calendar, Notion, Slack, Teams, GitHub, Figma, Firebase, Google Sheets, PayPal, and similar tools).
  3. The Service may include free, paid, usage-based, experimental, or beta features.
  4. We may change, improve, or discontinue features at any time.

3. Account Registration and Security

  1. You must provide accurate and complete account information and keep it up to date.
  2. You are responsible for safeguarding your account credentials and for all activity under your account.
  3. You must promptly notify us at hi@lowkey.money if you believe your account has been compromised.
  4. We are not responsible for losses caused by unauthorized use of your account when you fail to protect your credentials.

4. Connected Accounts and Permissions

  1. You may connect third-party accounts to enable workflows and automations.
  2. By connecting an account, you authorize Lowkey to access, process, and transmit data from that account as needed to perform your requested actions.
  3. You are responsible for ensuring you have permission to connect each third-party account and to direct actions in that account.
  4. You are solely responsible for reviewing and managing scopes, permissions, and settings in connected services.
  5. Third-party services are governed by their own terms and policies, and Lowkey is not responsible for third-party outages, policy changes, or service failures.

5. Your Content and Instructions

  1. You may provide prompts, instructions, files, messages, and other data ("Input") and receive drafts, recommendations, automations, and other outputs ("Output"). Input and Output are together "Content."
  2. You retain ownership of your Input.
  3. You grant Lowkey a worldwide, non-exclusive, royalty-free license to host, reproduce, process, transmit, and display Content only as necessary to operate, maintain, secure, improve, and provide the Service in accordance with our Privacy Policy.
  4. You represent and warrant that you have all rights needed for us to process your Content and that your Content does not violate law or third-party rights.

6. AI Outputs, Automation, and Your Responsibilities

  1. The Service uses automated systems and may produce Output that is inaccurate, incomplete, outdated, or inappropriate.
  2. You must review Output before relying on it, publishing it, sending it, or using it in business, legal, financial, compliance, hiring, medical, or safety-sensitive decisions.
  3. You are solely responsible for all actions taken based on Output, including communications sent, calendar changes made, records updated, and any downstream business decisions.
  4. The Service is a productivity tool and does not provide legal, tax, accounting, investment, medical, or other regulated professional advice.
  5. You must keep meaningful human oversight over automations and approvals.

7. Acceptable Use

You agree not to, and not to allow others to:

  • Violate any applicable law, regulation, or third-party right.
  • Use the Service to harass, defame, discriminate against, threaten, or abuse others.
  • Submit or transmit malware, spyware, malicious code, or harmful content.
  • Use the Service for phishing, fraud, impersonation, spam, or unauthorized surveillance.
  • Attempt to gain unauthorized access to any system, account, or data.
  • Reverse engineer, decompile, scrape, or otherwise attempt to extract source code, models, or underlying components of the Service except where prohibited by law.
  • Use the Service to develop, train, benchmark, or improve a competing AI model or service through model extraction or similar techniques.
  • Interfere with platform integrity, rate limits, or security controls.
  • Upload or process data subject to specialized regulatory regimes (for example, protected health information under HIPAA or payment card data under PCI DSS) unless we have separately agreed in writing.

8. Organizational Use and Admin Controls

  1. If your account is managed by an organization, that organization may control your use of the Service, including workspace access, integrations, billing, and Content associated with the organizational account.
  2. Workspace owners and admins are responsible for managing member permissions and account governance.

9. Fees, Billing, and Taxes

  1. Some features require payment. You agree to pay all fees presented at checkout or in your billing settings.
  2. Unless stated otherwise, fees are in U.S. Dollars and are non-refundable except where required by law.
  3. Subscriptions renew automatically unless cancelled before the renewal date.
  4. You authorize us and our payment processors to charge your selected payment method for recurring and usage-based charges.
  5. You are responsible for all taxes, duties, and governmental charges associated with your use of the Service, excluding taxes on Lowkey's net income.
  6. If payment fails or your account becomes delinquent, we may suspend or terminate access.

10. Third-Party Services

  1. The Service may interoperate with third-party products and APIs.
  2. Lowkey does not control third-party services and makes no warranty regarding their availability, security, or performance.
  3. Your use of third-party services is subject to the third party's terms and policies.

11. Intellectual Property

  1. Lowkey and its licensors own all right, title, and interest in and to the Service, including software, interface design, branding, and documentation, excluding your Content.
  2. Except for the limited rights expressly granted in these Terms, no rights are granted to you.
  3. If you provide feedback or suggestions, you grant Lowkey a perpetual, irrevocable, worldwide, royalty-free license to use that feedback without restriction or compensation.

12. Privacy and Data Handling

  1. Our collection and use of personal data is described in our Privacy Policy.
  2. Where required by law, we will request consent for cookies and analytics.
  3. You are responsible for providing any notices and obtaining any consents required for your use of the Service and your submission of Content.

13. Suspension and Termination

  1. You may stop using the Service at any time.
  2. We may suspend or terminate access immediately if we reasonably believe you breached these Terms, your use creates security, legal, or operational risk, or suspension is needed to prevent abuse or comply with law.
  3. We may also discontinue the Service or specific features.
  4. On termination, your right to use the Service ends immediately.
  5. Sections that by their nature should survive termination will survive, including sections on payment obligations, intellectual property, disclaimers, limitations of liability, indemnification, and dispute terms.

14. Disclaimers

  1. The Service is provided "as is" and "as available."
  2. To the fullest extent permitted by law, Lowkey disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy.
  3. We do not warrant that the Service will be uninterrupted, error-free, secure, or that Output will be accurate or fit for your needs.

15. Limitation of Liability

  1. To the fullest extent permitted by law, Lowkey and its affiliates, officers, employees, and licensors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, revenue, goodwill, data, or business interruption.
  2. To the fullest extent permitted by law, Lowkey's total aggregate liability for all claims arising out of or related to these Terms or the Service will not exceed the greater of (a) the amount you paid to Lowkey for the Service in the 12 months before the event giving rise to the claim, or (b) 100 USD.
  3. Some jurisdictions do not allow certain limitations, so portions of this section may not apply to you.

16. Indemnification

You will defend, indemnify, and hold harmless Lowkey and its affiliates, officers, employees, and licensors from and against any claims, damages, liabilities, losses, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • your use or misuse of the Service,
  • your Content,
  • your violation of these Terms, or
  • your violation of any law or third-party right.

17. Changes to the Service or Terms

  1. We may update these Terms from time to time.
  2. If we make material changes, we will provide notice by updating the "Effective Date" above and, where appropriate, by additional notice in the Service or by email.
  3. Your continued use of the Service after updated Terms become effective means you accept the updated Terms.

18. Governing Law and Disputes

  1. These Terms are governed by the laws of the state or country where Lowkey is incorporated, excluding conflict-of-law rules.
  2. Any dispute arising from these Terms or the Service will be resolved in the courts located in the jurisdiction where Lowkey is incorporated, unless applicable law requires otherwise.
  3. You and Lowkey consent to personal jurisdiction in those courts.

19. General Terms

  1. These Terms, together with any order form or separate written agreement with Lowkey, are the entire agreement between you and Lowkey regarding the Service.
  2. If any provision is held unenforceable, the remaining provisions remain in effect.
  3. Lowkey's failure to enforce a provision is not a waiver.
  4. You may not assign or transfer these Terms without Lowkey's prior written consent. Lowkey may assign these Terms in connection with a merger, acquisition, reorganization, or sale of assets.
  5. Nothing in these Terms creates any agency, partnership, or joint venture.
